These Intended Parent Services Terms and Conditions (“Terms”) are a legally binding agreement between Heart to Home Affordable Surrogacy LLC, a Delaware limited liability company (“Heart to Home,” “we,” “us,” or “our”), and the intended parent or intended parents purchasing services (“Client,” “you,” or “your”).
By checking the acceptance box and submitting payment, you confirm that you have read, understood, and agreed to these Terms.
1. Services
Heart to Home provides surrogacy-related education, matching assistance, administrative support, journey coordination, agency-related coordination, technology access, and other services included in your selected package.
The package description displayed at the time of purchase identifies the services included. Services not expressly listed are not included.
Heart to Home may collect, organize, and conduct a preliminary review of information or records to assess readiness for a journey. Heart to Home does not provide medical, legal, psychological, insurance, tax, escrow, or financial advice or services. You must rely on independently licensed professionals for those matters.
2. Payment
All fees must be paid before Heart to Home begins providing services unless a written payment arrangement states otherwise.
You are responsible for all third-party costs, including clinic, medical, legal, psychological, insurance, escrow, travel, Gestational Carrier compensation, and other journey-related expenses. Heart to Home’s fees do not include these costs unless expressly stated in the selected package.
3. Refund and Rematching Policy
All payments made to Heart to Home are nonrefundable except for the limited matching refund described below or where applicable law requires otherwise.
If you purchase a package that includes matching services and Heart to Home is unable to provide a mutually accepted match within 12 months after your acceptance of these Terms, you may request a refund equal to 50% of the service fees paid to Heart to Home for that package.
A “mutually accepted match” occurs when you and a prospective Gestational Carrier confirm that you wish to proceed together after having an opportunity to review information and communicate. A match does not guarantee medical clearance, legal clearance, embryo transfer, pregnancy, delivery, or completion of the journey.
If a mutually accepted match ends for any reason before the first embryo transfer, Heart to Home will provide rematching services at no additional cost.
If a mutually accepted match ends for any reason after the first embryo transfer, you may purchase rematching services for 50% of the Matching Support package fee in effect at the time the rematch is requested.
The 12-month matching refund is unavailable if you materially breach these Terms, provide inaccurate or incomplete information, become ineligible to proceed, abandon the process, or fail to respond or reasonably participate in matching.
An eligible refund request must be submitted in writing within 30 days after the 12-month matching period ends. This limited refund and the rematching options described above are your sole remedies concerning matching services.
4. No Guaranteed Outcome
Surrogacy depends upon the decisions, qualifications, availability, and actions of independent individuals and professionals. Heart to Home cannot guarantee:
- The availability or suitability of a particular Gestational Carrier;
- Medical, psychological, insurance, or legal clearance;
- That a match will continue;
- That an embryo transfer will occur or succeed;
- Pregnancy, delivery, or a live birth; or
- A particular schedule, outcome, or total journey cost.
Heart to Home is not responsible for decisions, delays, acts, omissions, or outcomes involving Gestational Carriers, clinics, attorneys, mental-health professionals, insurers, escrow providers, laboratories, or other third parties.
5. Client Responsibilities
You agree to:
- Provide complete, accurate, and current information;
- Communicate honestly, respectfully, and promptly;
- Obtain all necessary professional advice, evaluations, clearances, insurance, and legal agreements;
- Protect confidential information received about prospective or matched Gestational Carriers;
- Comply with applicable laws and professional requirements; and
- Promptly disclose changes that could affect eligibility, matching, safety, or the journey.
You remain responsible for deciding whether to accept a match, provider, recommendation, or course of action.
6. Privacy and Information Sharing
You authorize Heart to Home to use and share information reasonably necessary to provide the purchased services. This may include sharing appropriate profile information with prospective Gestational Carriers and coordinating with authorized professional providers.
Personal information will be handled according to Heart to Home’s Privacy Policy and applicable law. No electronic communication or storage system can be guaranteed to be completely secure.
7. Suspension or Termination
You may stop using Heart to Home’s services at any time, but stopping services does not create a right to a refund.
Heart to Home may suspend or terminate services if you breach these Terms, provide false or misleading information, fail to pay an amount due, engage in abusive or unsafe conduct, violate applicable law, or create a material risk to another person or the journey.
Fees remain nonrefundable except as expressly provided in Section 3 or required by law.
8. Future and Sibling Journeys
You are under no obligation to use Heart to Home for a future or sibling journey.
Future services require a new purchase or written agreement. You may choose Heart to Home, another provider, or an independent journey without penalty.
9. Limitation of Liability
To the fullest extent permitted by law, Heart to Home will not be liable for indirect, incidental, special, consequential, or punitive damages, including emotional distress, loss of opportunity, unsuccessful medical treatment, pregnancy loss, third-party expenses, or delays.
Heart to Home’s total liability arising from the purchased services will not exceed the service fees you actually paid to Heart to Home for the applicable package.
Nothing in these Terms limits liability that cannot legally be limited.
10. Disputes and Arbitration
Before beginning arbitration, either party must provide written notice describing the dispute and allow at least 30 days for a good-faith effort to resolve it informally.
If the dispute is not resolved, it will be decided through individual, binding arbitration administered by the American Arbitration Association under the rules applicable to the dispute. Arbitration may occur remotely unless the parties agree otherwise or applicable law requires another location.
The Federal Arbitration Act governs this arbitration provision. Neither party may pursue a covered dispute as a class, collective, consolidated, or representative action. Either party may bring an eligible individual claim in small-claims court.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where another jurisdiction’s mandatory law applies.
12. General Terms
These Terms, together with the selected package description, order confirmation, invoice, and policies expressly incorporated into them, constitute the entire agreement concerning the purchased services.
If any provision is found unenforceable, the remaining provisions will remain effective. A failure to enforce a provision is not a waiver of that provision or any other provision.
Heart to Home may update these Terms for future purchases. The version displayed and accepted when you submit payment governs that purchase unless both parties agree to a change in writing.
Electronic acceptance of these Terms has the same legal effect as a handwritten signature.
